Over the course of his career, Mr. Roy has developed deep expertise in Corporate Law advisory and compliance management for both listed and unlisted companies. His core areas of specialization include Due Diligence, Mergers & Acquisitions, Takeovers, Corporate Restructuring, Revocation of Suspension of listed entities, Direct Listing, Preferential Allotments, and comprehensive compliance under the Companies Act, 2013 and other applicable corporate regulations.

He possesses substantial experience in handling matters related to the Reserve Bank of India (RBI), including External Commercial Borrowings (ECB), Foreign Direct Investment (FDI), foreign investment approvals, acquisition and transfer of ownership of NBFCs, and regulatory compliance for financial entities. His advisory portfolio also includes loan documentation, structuring of joint ventures, strategic alliances, and intellectual property matters such as trademark registration and protection.

Mr. Roy has significant expertise in the incorporation, structuring, and regulatory compliance of specialized entities including, Foreign Company, Indian Company, Nidhi Companies, Producer Companies, and Multi-State Cooperative Societies under the Ministry of Agriculture and Government of India regulations. He has successfully assisted clients in securing regulatory approvals, sanctions, and compounding of offences before the Department of Company Affairs, Regional Director, and the National Company Law Tribunal (NCLT).In addition, he has extensive experience in arranging and structuring financial facilities such as business loans, working capital finance, Loan Against Property (LAP), and other credit facilities from banks and private financial institutions.

With his strong command over corporate governance, regulatory frameworks, and financial structuring, Mr. Roy provides strategic, compliance-driven, and result-oriented advisory services to diverse corporate groups and business houses across India and abroad.

Mr. Vipin Shukla (FCS, LL.B.) is a Fellow Member of the Institute of Company Secretaries of India (ICSI) and a Law Graduate with over 25 years of rich professional experience in Corporate Laws, Legal Advisory, and Strategic Business Structuring.

He possesses extensive expertise in Corporate Law advisory and regulatory compliance, offering comprehensive solutions to both listed and unlisted companies. His core areas of specialization include corporate restructuring, Buy-back of securities, Rights Issue, Preferential Allotment, Listing Compliances, and ensuring adherence to statutory requirements under the Companies Act, 2013 and other applicable corporate regulations.

Mr. Shukla has significant experience in conducting Secretarial Audits, compliance audits, and corporate governance reviews, helping organizations strengthen internal controls and regulatory frameworks. His advisory services extend to drafting and vetting complex legal documentation and commercial agreements, including shareholder agreements, joint venture agreements, business transfer agreements, and various transactional documents.

He has strong domain knowledge in Land Due Diligence and regulatory matters under the Real Estate (Regulation and Development) Act, 2016 (RERA), assisting developers, investors, and stakeholders in compliance management and risk assessment.<br>In addition, Mr. Shukla has practical exposure to Strategic Alliances, International Trade advisory, cross-border transactions, and Loan Syndication, enabling businesses to structure growth-oriented and legally compliant financial arrangements.
